3. Client Data and Confidentiality Terms

These Client Data and Confidentiality Terms are intended for use in consulting, advisory, training, workshop, and related client engagements. They are not a substitute for a tailored MSA or NDA where the engagement involves regulated data, strategic trade secrets, security-sensitive systems, or high-risk operations.
3.1 Definitions
"Client Data" means information, data, materials, files, records, content, comments, instructions, or other information provided by or on behalf of the client to THBS in connection with an engagement, excluding THBS Background IP and deidentified or aggregated information that does not identify the client.
"Confidential Information" means nonpublic information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") that is marked confidential or that reasonably should be understood to be confidential because of the nature of the information or the circumstances of disclosure. Confidential Information may include business plans, strategies, pricing, nonpublic financial information, internal processes, vendor information, personnel information, assessments, research, project materials, technical information, and Client Data.
Confidential Information does not include information that the Receiving Party can demonstrate:

Was already lawfully known without restriction before receipt.

Becomes publicly available without breach of an obligation.

Is lawfully received from a third party without duty of confidentiality.

Is independently developed without use of or reference to the Disclosing Party's Confidential Information.
3.2 Use and Disclosure Restrictions
The Receiving Party will:

Use Confidential Information only for purposes of performing or receiving the services under the applicable engagement.

Limit access to personnel, contractors, or advisers who have a legitimate need to know and who are bound by confidentiality obligations at least as protective as those in these terms.

Not disclose Confidential Information to third parties except as permitted by the applicable agreement or required by law.

Use reasonable administrative, technical, and organizational measures to protect Confidential Information from unauthorized access, use, or disclosure.
3.3 Client Data Responsibilities
The Client represents and warrants that it has all rights, permissions, notices, and consents necessary to provide Client Data to THBS and to authorize THBS to use the Client Data as contemplated by the engagement.
Unless otherwise agreed in writing, the Client will not provide to THBS, via ordinary email, website forms, or unsecured file-sharing channels, any information that is highly sensitive, export-controlled, restricted by contract, or regulated by privacy, cybersecurity, health, financial, or employment laws in a manner that requires additional safeguards.
3.4 THBS Handling of Client Data
THBS may use Client Data only as reasonably necessary to perform the services, maintain engagement records, support internal administration, comply with legal obligations, enforce agreements, improve internal service delivery through de-identified or aggregated learnings, and protect rights, systems, and security.
THBS will not sell Client Data. THBS will not publicly identify the client, publish a case study using identifiable client information, or use the client's name, logo, Confidential Information, or project details for promotional purposes without the client's prior written consent, unless expressly permitted by the applicable agreement.
3.5 AI-Assisted Tools and Service Providers
If THBS uses AI-assisted tools, cloud systems, collaboration tools, transcription services, analytics tools, or other service providers in connection with the engagement, THBS will remain responsible for managing those tools in a commercially reasonable manner consistent with the applicable agreement and THBS's operational practices.
Unless expressly agreed otherwise in writing, THBS may use AI-assisted tools for research, drafting, synthesis, documentation support, and internal workflow efficiency, provided that THBS remains responsible for the professional services it delivers. The client remains responsible for reviewing deliverables, decisions, and implementation choices.
Where the engagement involves restricted, highly sensitive, or regulated data, the parties should address tool restrictions, approved environments, retention, and security requirements in the applicable MSA, SOW, or addendum before data is shared.
3.6 Compelled Disclosure
If the Receiving Party is required by law, subpoena, court order, or governmental process to disclose Confidential Information, the Receiving Party may do so to the extent legally required, provided that, where legally permitted, it gives prompt notice to the Disclosing Party so the Disclosing Party may seek protective treatment.
3.7 Return, Deletion, and Retention
Upon written request made within a reasonable time after termination of the engagement, THBS will return or delete Client Data in its possession or control, except for information THBS is required to retain by law, for insurance or recordkeeping purposes, to enforce agreements, or that is stored in secure archival backups and not actively used except as required for restoration, compliance, or legal purposes.
3.8 Security Incident Notice
If THBS becomes aware of unauthorized access to Client Data in THBS's possession or control that materially affects the confidentiality, security, or integrity of Client Data, THBS will provide notice to the Client within a commercially reasonable time, subject to legal restrictions, law-enforcement needs, and the need to determine the scope and remediation of the incident.
3.9 Survival
Confidentiality obligations will survive termination of the engagement for three years, except for trade secrets and information that, by their nature, should remain confidential for as long as such information remains protectable under applicable law or the applicable agreement.
4. Refund, Cancellation, and Rescheduling Policy

This Refund, Cancellation, and Rescheduling Policy applies to THBS workshops, webinars, training sessions, digital resources, advisory sessions, consultations, retainers, and other paid offerings unless a separate written agreement or checkout-specific policy states otherwise.
Clear and accurate refund and cancellation disclosures reduce the risk of deceptive-practice disputes and should align with the actual sales and delivery process.
4.1 General Rule
Refund, cancellation, and rescheduling rights depend on the type of product or service purchased. Where a separate MSA, SOW, order form, proposal expressly accepted by THBS, event registration page, invoice, or checkout page states different terms, those more specific terms control.
4.2 Consulting Engagements and Advisory Services
For consulting engagements, strategy engagements, retained advisory services, project-based work, assessments, and custom deliverables:

Fees for services already performed are non-refundable.

Deposits, retainers, and advance payments are non-refundable once scheduling, scoping, onboarding, or reserved capacity has begun, unless otherwise stated in writing.

If the client terminates an engagement early, the client remains responsible for fees earned through the effective termination date, approved expenses, and non-cancellable commitments.

Multi-phase engagements may be subject to milestone billing and termination terms in the applicable engagement agreement.
4.3 Scheduled Consultations and Strategy Sessions
For one-time paid consultations, advisory calls, coaching-style strategy sessions, or similar scheduled appointments:

A client may reschedule once without penalty if notice is given at least 24 hours before the scheduled start time.

Cancellations made at least 48 hours before the scheduled start time may be eligible for a credit toward a future session, unless otherwise stated at the time of booking.

Cancellations made with less than 48 hours' notice, missed appointments, or no-shows are non-refundable.
-
If THBS must reschedule due to an emergency or circumstances beyond reasonable control, THBS will offer a rescheduled date or credit.
4.4 Workshops, Webinars, and Training Events
For live workshops, webinars, cohort programs, training sessions, or similar events:

Registrations may be transferred to a substitute attendee from the same organization if THBS receives written notice before the event start time, unless otherwise prohibited by the event terms.

If cancellation is requested at least 7 calendar days before the event, THBS may issue a credit toward a future event or provide a partial refund, less any nonrecoverable processing or administrative costs, if disclosed at purchase.

Cancellations made fewer than 7 calendar days before the event, failure to attend, or early departure are non-refundable.

If THBS cancels a live event and does not provide a comparable substitute, THBS will provide a refund of the fees paid for that event or a credit, at THBS's election unless otherwise required by law.
4.5 Digital Products and Downloadable Resources
For digital downloads, templates, toolkits, self-guided resources, recordings, and other downloadable or immediately accessible digital products:

All sales are final once access is granted or the product is delivered, except as required by law or as THBS expressly states otherwise in writing.

A person who experiences a verified technical issue preventing access may contact THBS within 7 days of purchase for reasonable troubleshooting or replacement access.
4.6 Subscription or Retainer Services
If THBS offers recurring subscriptions, advisory retainers, or installment-based services:

Billing frequency, renewal terms, pause rights, and termination notice requirements will be stated in the applicable agreement or checkout flow.

Unless otherwise stated, termination of a recurring service will apply prospectively and will not entitle the client to a refund for the current billing period once that period has begun.
4.7 Chargebacks and Payment Disputes
Before initiating a chargeback or payment dispute, the purchaser agrees to contact THBS in good faith to attempt to resolve the issue directly. THBS reserves the right to suspend access to services, deliverables, bookings, or digital resources while a payment dispute is pending, to the extent permitted by law.

4.9 Policy Changes
THBS may update this Policy from time to time. The version posted at the time of purchase or the version incorporated into the applicable written agreement will generally control for that transaction, unless otherwise required by law.
