Threshold Business Solutions (THBS) Terms of Service

Welcome to Threshold Business Solutions ("THBS," "Company," "we," "us," or "our"). These Terms of Service ("Terms") govern access to and use of the THBS website, digital resources, communications, consulting services, advisory services, workshops, assessments, tools, training materials, and other products or services made available by THBS.
By accessing the website, submitting information to THBS, purchasing a product or service, registering for an event or workshop, scheduling a consultation, or otherwise engaging with THBS, the user agrees to these Terms to the extent applicable. For paid or scoped client work, the controlling terms for the engagement will be set forth in the applicable Master Services Agreement ("MSA"), Statement of Work ("SOW"), proposal expressly accepted by THBS, order form, engagement letter, or other written agreement executed or otherwise expressly accepted by the parties.
If a person is accepting these Terms on behalf of a business, nonprofit, governmental body, or other entity, that person represents and warrants that they have authority to bind that entity.
1. About THBS
Threshold Business Solutions is a San Antonio-based consulting and advisory firm that provides business strategy, operational structure, governance, transformation support, program and project delivery support, portfolio and operational management advisory, AI governance, AI literacy, AI agent architecture, training, and related business solutions.
Services may include, without limitation:

Strategic mapping and advisory.

Business operations and organizational structure.
-
Operational workflow and process design.
-
Governance and accountability systems.
-
Program, project, and portfolio management support.
-
Organizational transformation and operational excellence support.
-
Policy, procedure, framework, and documentation development.
-
AI governance, AI literacy, and responsible AI framework development.
-
AI agent architecture and workflow design.
-
Technology and business-process assessments.
-
Workshops, training sessions, templates, tools, and educational resources.
-
Other consulting or advisory services expressly described in an applicable engagement document.
The exact scope, deliverables, schedule, assumptions, client dependencies, fees, expenses, and acceptance criteria for a client engagement will be defined in the applicable engagement document.
2. Relationship to Client Agreements
These Terms establish the general rules for use of the website, public-facing resources, inquiries, workshop registrations, digital resources, and preliminary interactions with THBS.
If THBS and a client enter into an MSA, SOW, NDA, order form, engagement letter, workshop agreement, or other written agreement, that agreement will control with respect to the applicable engagement. If there is a conflict between these Terms and a signed or otherwise expressly accepted engagement agreement, the engagement agreement will control for that engagement.
No statement on the website, in marketing materials, in discovery calls, in social media, in workshops, in presentations, or in other preliminary communications creates a client relationship or modifies THBS obligations unless expressly incorporated into an applicable written agreement.
3. Eligibility and Authority
A user must be at least 18 years old and legally capable of entering into a binding agreement to use any THBS service requiring payment, registration, or contractual acceptance.
If a user engages THBS on behalf of an organization, the user represents and warrants that:

The user is authorized to act on behalf of the organization.

All information provided to THBS is accurate and not misleading.

The organization has the right to provide any materials, instructions, systems access, or data submitted to THBS.

The organization agrees to comply with these Terms and any applicable engagement agreement.
4. Nature of Services
THBS provides strategic, operational, governance, AI, technology-adjacent, and business advisory services based on information available at the time services are performed. THBS does not guarantee that any recommendation, framework, workflow, governance model, training, implementation concept, or advisory deliverable will produce a specific financial, operational, legal, regulatory, technical, or commercial outcome.
The client remains responsible for final decisions, internal approvals, implementation, supervision of personnel, legal and regulatory compliance, cybersecurity posture, vendor selection, and business results.
5. Professional Advice Disclaimer
Unless expressly stated in a separate written agreement, THBS does not provide legal, tax, accounting, audit, investment, insurance, medical, psychological, licensed cybersecurity, or other licensed professional advice. THBS services are intended to support business planning, governance, risk awareness, operational design, strategic analysis, and management decision-making.
Any governance, policy, compliance-supporting, privacy-supporting, security-supporting, or risk-management materials provided by THBS are not a substitute for advice from qualified counsel or other licensed professionals where specialized review is required.
6. AI, Automation, and Emerging Technology Services
Certain THBS services may involve artificial intelligence, generative AI, automation, machine learning, AI agents, workflow automation, or third-party technology platforms. Clients acknowledge that such systems may produce incomplete, inaccurate, inconsistent, biased, outdated, or unexpected outputs.
Unless expressly stated otherwise in a written engagement agreement:

AI-generated or AI-assisted outputs are not independently authoritative.

Material business decisions should be reviewed by qualified human decision-makers.

The client is responsible for determining whether AI-supported processes are appropriate for its organization and use case.

The client is responsible for compliance with laws, regulations, contractual obligations, privacy requirements, employment obligations, intellectual-property requirements, and industry-specific obligations applicable to its use of AI.

THBS does not warrant that any third-party AI model, platform, API, software tool, or automation environment will remain available, unchanged, secure, compliant, or compatible with a client environment.
THBS may use AI-assisted tools to support research, analysis, drafting, process design, prototyping, testing, documentation, or internal workflow efficiency where reasonably appropriate. THBS remains responsible for performing the expressly agreed professional services in a commercially reasonable manner, subject to the limitations, assumptions, exclusions, and liability provisions in the applicable engagement agreement.
7. Client Data and Responsible Data Use
The client is responsible for ensuring that it has all rights, permissions, notices, and consents necessary to provide information, materials, personal data, business records, and other content to THBS.
Unless THBS expressly agrees otherwise in writing, users and clients must not submit highly sensitive or regulated information through general website forms, standard email, public collaboration links, or other unsecured channels. This includes, by way of example:

Passwords or authentication credentials.

Full Social Security numbers.

Payment-card data.
-
Protected health information.
-
Biometric identifiers.
-
Children's protected information.
-
Government-issued authentication credentials.
-
Export-controlled information.
-
Other legally restricted or highly regulated data.
If an engagement requires THBS to access, receive, review, or process sensitive or regulated information, the required privacy, security, confidentiality, handling, and processing terms must be addressed in the applicable engagement agreement before transfer occurs. THBS may reject, delete, return, quarantine, or request secure retransmission of information submitted through an inappropriate channel.
8. Confidentiality
A general website inquiry, intake form submission, discovery call, or other preliminary contact does not by itself create an attorney-client relationship, fiduciary relationship, privileged relationship, or automatic confidentiality obligation.
For active client engagements, confidentiality obligations will be governed primarily by the applicable NDA, MSA, SOW, proposal expressly accepted by THBS, or other engagement agreement. Unless otherwise agreed in writing, THBS will use reasonable care to protect Client Confidential Information in accordance with the applicable engagement agreement and applicable law.
THBS will not publicly identify a client, disclose nonpublic project information, publish a case study using identifiable client information, or use a client's name, logo, trademarks, testimonials, or project details for promotional purposes without prior written consent when such consent is required by the applicable agreement or applicable law.
9. Third-Party Technology and Services
THBS may recommend, configure, access, integrate with, or utilize third-party platforms, including software applications, cloud services, AI systems, automation tools, collaboration tools, project-management platforms, communication systems, and other vendor products.
Third-party products and services are governed by their own terms, privacy notices, pricing structures, licensing terms, service levels, and security practices. THBS does not control and is not responsible for vendor outages, pricing changes, licensing restrictions, discontinued features, security incidents, API changes, discontinued services, or other actions or omissions of independent third-party providers.
Unless expressly stated otherwise in an applicable engagement document, the client is responsible for obtaining and maintaining required third-party subscriptions, licenses, approvals, consents, and vendor relationships.
10. Client Responsibilities
Successful consulting and advisory services require timely client participation. The client agrees to provide, as reasonably necessary:

Accurate and complete information.

Access to appropriate personnel.
-
Timely feedback and approvals.
-
Access to agreed systems, records, and documentation.
-
Designated points of contact and decision-makers.
-
Relevant policies, standards, and constraints.
-
Other reasonably necessary cooperation identified in the engagement.
THBS is not responsible for delays, rework, additional costs, or reduced effectiveness caused by inaccurate information, unavailable personnel, shifting priorities, delayed approvals, unavailable systems, or other circumstances outside THBS's reasonable control.
11. Fees, Billing, and Payment
Fees for professional services, workshops, subscriptions, training, advisory services, or digital resources will be stated in the applicable proposal, invoice, SOW, order form, registration page, checkout page, or engagement agreement.
Unless otherwise stated in writing:

Fees are stated in U.S. dollars.

Fees are exclusive of applicable taxes and approved reimbursable expenses.

Payment is due according to the applicable invoice or contract.
-
Deposits, retainers, milestone payments, or advance payments may be required before services begin.
-
THBS may pause work or suspend access for materially overdue accounts after reasonable notice.
-
Work outside approved scope may require additional authorization and fees.
The obligation to pay for authorized services performed, non-cancellable commitments, and approved expenses survives termination.
12. Cancellations, Rescheduling, and Refunds
Cancellation, rescheduling, refund, and termination rights for a specific engagement will be governed by the applicable engagement agreement or checkout terms.
Unless otherwise stated in writing:

Fees for services already performed are non-refundable.

Deposits and retainers are non-refundable once reserved work has been scheduled or initiated.

THBS may establish separate cancellation and attendance rules for workshops, training sessions, webinars, or digital resources and present those rules at the time of registration or purchase.

THBS may reschedule a service, session, or event for reasons beyond its reasonable control and will use reasonable efforts to coordinate an alternative arrangement.
13. Intellectual Property THBS Background IP
THBS retains ownership of all pre-existing and independently developed intellectual property, including methodologies, frameworks, models, templates, tools, checklists, assessment methods, systems, workflows, training materials, governance structures, AI architecture approaches, documentation systems, know-how, and branding (collectively, "THBS Background IP").
Client Deliverables
Ownership and permitted use of client-specific deliverables will be defined in the applicable engagement agreement. Unless otherwise stated in writing, and subject to payment of all undisputed amounts due for the applicable engagement, the client may use final deliverables created specifically for that client for the client's internal business purposes.
THBS retains ownership of drafts, working papers, preliminary analyses, notes, internal tools, reusable components, research files, and materials not identified in writing as final deliverables. If THBS Background IP is embedded in a deliverable, THBS retains ownership of the underlying THBS Background IP and grants the client a limited, non-exclusive, non-transferable license to use the embedded material only as reasonably necessary to use the final deliverable for internal business purposes, unless otherwise stated in writing.
Third-party software, open-source components, and third-party materials remain subject to their own license terms.
14. Prohibited Use of THBS Materials
Unless expressly authorized in writing, a user or client may not:

Copy and commercially resell THBS proprietary frameworks, templates, or materials.

Remove intellectual-property or proprietary-rights notices.
-
Republish THBS proprietary materials as the user's own.
-
Sublicense, distribute, publish, sell, or commercially exploit THBS proprietary content.
-
Create derivative commercial materials substantially based on THBS proprietary content.
-
Misrepresent THBS materials as independently created by another party.
-
Reverse engineer, probe, or misuse proprietary THBS systems, access controls, or protected materials.
Nothing in these Terms prevents a client from using properly licensed deliverables for legitimate internal business operations as permitted by the applicable engagement agreement.
15. Website and Acceptable Use
A user may not use the website, THBS systems, or THBS services to:

Violate applicable law.

Commit fraud or deception.
-
Introduce malware, ransomware, malicious code, or harmful scripts.
-
Attempt unauthorized access to systems, accounts, or data.
-
Scrape, crawl, harvest, or mine content or data except as expressly authorized by THBS or permitted by law.
-
Probe, scan, or test system vulnerabilities without authorization.
-
Misrepresent identity, affiliation, or authority.
-
Violate intellectual-property, privacy, publicity, confidentiality, or contractual rights.
-
Transmit unlawful, infringing, harassing, hateful, or malicious content.
-
Use THBS systems to support unlawful discrimination, harmful automated decision-making, or other unlawful conduct.
THBS may restrict, suspend, or terminate access where reasonably necessary to protect its systems, personnel, clients, intellectual property, or legal interests.
16. Website Information and No Reliance on Preliminary Communications
Website content, blog content, downloadable materials, social posts, presentations, webinars, consultations, estimates, proposed timelines, statements regarding outcomes, and other preliminary or informational communications are provided for general informational purposes only and are not binding commitments unless expressly incorporated into an applicable written engagement agreement.
THBS makes reasonable efforts to provide accurate and useful information, but does not guarantee that website content or public materials will always be current, complete, available, or error-free. Services, pricing, availability, delivery methods, and service descriptions may change.
17. No Guarantee of Results
THBS does not guarantee increased revenue, business growth, cost savings, profitability, regulatory approval, implementation success, AI accuracy, funding, employment outcomes, market adoption, technology performance, operational transformation, or any other specific business outcome.
Results depend on many factors beyond THBS control, including client leadership decisions, staff execution, market conditions, legal and regulatory developments, data quality, vendor performance, timing, and implementation discipline.
18. Warranties Disclaimer
To the maximum extent permitted by applicable law, the website, free materials, and general informational content are provided on an "as is" and "as available" basis. Except as expressly stated in an applicable written engagement agreement, THBS disclaims all implied warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Nothing in these Terms excludes any warranty or obligation that cannot lawfully be excluded.
19. Limitation of Liability
To the maximum extent permitted by law, THBS will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost revenue, loss of business opportunity, loss of anticipated savings, business interruption, or loss of data, arising out of or relating to the website, public materials, or services, even if advised of the possibility of such damages.
For services governed by a separate written engagement agreement, the liability provisions of that agreement will control. Where no separate liability provision applies, THBS total aggregate liability arising out of or relating to the applicable paid services will not exceed the fees actually paid to THBS for the specific services giving rise to the claim during the six months immediately preceding the claim, to the extent permitted by law.
20. Indemnification
To the extent permitted by law, the user or client agrees to defend, indemnify, and hold harmless THBS and its owners, officers, contractors, employees, representatives, successors, and assigns from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys' fees arising out of or related to:

Materials, instructions, data, or content provided without proper authorization.

Unlawful or unauthorized use of THBS services, deliverables, or systems.
-
Violation of third-party rights, including intellectual-property, privacy, confidentiality, publicity, or contractual rights.
-
Material breach of these Terms or an applicable engagement agreement.
-
Unauthorized, unlawful, or unreviewed implementation of THBS recommendations or deliverables.
THBS will provide reasonably prompt notice of any indemnified claim, subject to THBS's right to assume or participate in the defense as permitted by applicable law and the applicable agreement. The indemnifying party may not settle any claim in a manner that imposes liability or obligations on THBS without THBS's prior written consent.
21. Termination or Suspension
THBS may suspend or terminate access to the website, public materials, digital resources, workshops, or services where reasonably necessary because of nonpayment, material breach, unlawful activity, abuse, harassment, security risk, misuse of THBS intellectual property, repeated failure to provide required participation, or other circumstances identified in an applicable engagement agreement.
A client may terminate an engagement as provided in the applicable engagement agreement. If no termination provision applies to an ongoing engagement, either party may terminate on written notice, subject to payment for services performed, approved expenses incurred, non-cancellable commitments, and fees already earned through the effective date of termination.
22. Force Majeure
Neither party will be liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, severe weather, fire, acts of God, war, terrorism, civil unrest, labor disruptions, utility failures, public-health emergencies, governmental actions, cyberattacks, internet outages, or critical third-party infrastructure failures.
The affected party will use commercially reasonable efforts to mitigate the impact of the event and will notify the other party when reasonably practicable. This section does not excuse payment obligations for services already properly performed.
23. Privacy
Use of the website and services may involve the collection, use, storage, or disclosure of personal information. THBS's handling of personal information is also governed by the THBS Privacy Policy.
Where THBS processes information on behalf of a client, additional privacy, confidentiality, cybersecurity, or data-processing terms may be required in the applicable engagement agreement depending on the nature of the services and the data involved.
24. Electronic Communications and Acceptance
THBS may use electronic communications, electronic records, electronic invoices, electronic signatures, online acceptance workflows, and other electronic means in connection with the website and services where permitted by law.
Users and clients are responsible for maintaining accurate contact information. Where THBS requires acceptance of these Terms or other contractual terms through a checkout, registration, click-through, or other online workflow, the user agrees that electronic acceptance will be legally binding to the extent permitted by law.
25. Dispute Resolution
The parties will attempt in good faith to resolve disputes informally before initiating formal legal proceedings. Unless an applicable engagement agreement states otherwise, either party may provide written notice describing the dispute and the requested relief, and the parties will allow a reasonable opportunity to attempt resolution before filing suit.
Nothing in this section prevents either party from seeking temporary, preliminary, or emergency injunctive relief where necessary to protect confidential information, intellectual property, data, systems, or other rights requiring immediate protection.
26. Governing Law; Exclusive Forum; Venue
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the website, the services, or the relationship of the parties will be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-laws principles.
Except for a party's right to seek temporary, preliminary, or emergency injunctive relief in any court of competent jurisdiction to protect confidential information, intellectual property, data, or systems, the exclusive forum and venue for any action or proceeding arising out of or relating to these Terms will be the state courts located in Bexar County, Texas, or, if federal subject-matter jurisdiction exists, the United States District Court for the Western District of Texas, San Antonio Division.
Each party irrevocably submits to the exclusive personal jurisdiction of those courts and waives any objection based on improper venue, lack of personal jurisdiction, or forum non conveniens.
27. Assignment
THBS may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, reorganization, internal restructuring, or operation of law. A user or client may not assign, delegate, or transfer any rights or obligations under these Terms without THBS's prior written consent, and any attempted assignment in violation of this section is void except where prohibited by law.
28. Independent Contractor Relationship
THBS is and will remain an independent contractor. Nothing in these Terms or any engagement creates a partnership, joint venture, franchise, fiduciary relationship, agency relationship, employment relationship, or exclusive relationship between THBS and any client unless expressly stated in a separate written agreement signed by the parties.
29. Publicity and Use of Name or Logo
Unless expressly authorized in writing, neither party may publicly use the other party's name, logo, trademarks, service marks, trade dress, testimonials, or other branding in advertising, press releases, websites, case studies, sales materials, investor materials, social media, or other promotional content.
This section does not prohibit truthful statements required by law, court order, or stock-exchange rules, provided the disclosing party gives notice where legally permitted.
30. Workshops, Training, and Digital Resource Use
Unless otherwise stated in writing at the time of purchase or registration:

Workshop, webinar, training, and event registrations are for the registered participant only.

Access credentials, recordings, downloads, and course materials may not be shared, sublicensed, posted publicly, or distributed outside the purchasing organization except as expressly permitted in writing.

Internal redistribution within a client's organization is prohibited unless the applicable order, invoice, registration page, or engagement agreement expressly grants that right.
-
Recording, photographing, screen capture, transcription, or rebroadcast of THBS workshops, consultations, webinars, or training sessions is prohibited without THBS's prior written consent.

THBS may record workshops, webinars, or training sessions for internal quality, documentation, security, or future educational use where permitted by law and subject to any notices provided at the time of the session.
31. Accessibility
THBS seeks to make its public-facing website and digital resources reasonably accessible. A user who experiences difficulty accessing website content or who requires an accommodation related to a THBS event, workshop, or digital resource may contact THBS using the contact information below and include the phrase "Accessibility Request" in the message.
32. Export Controls and Sanctions
A user or client may not use, export, re-export, transfer, disclose, or provide access to THBS services, materials, or deliverables in violation of applicable export-control, trade, embargo, sanctions, or import laws and regulations.
The user or client represents that it is not located in, organized under the laws of, or ordinarily resident in a restricted jurisdiction where the provision or receipt of the applicable services would be prohibited by law, and that it is not a prohibited or blocked person under applicable sanctions laws.
33. Changes to These Terms
THBS may update these Terms from time to time to reflect changes in services, operations, legal requirements, technology, or business practices. The then-current version will be posted on the website with the updated "Last Updated" date.
Changes will apply prospectively unless otherwise required by law. Changes to these public Terms do not automatically modify a then-existing written client agreement unless the parties separately agree in writing.
34. Severability
If any provision of these Terms is held invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.
35. Waiver
Failure by THBS to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
36. Entire Agreement
These Terms and the THBS Privacy Policy govern general use of the website and publicly available THBS materials. A client engagement is governed only by the applicable written agreement executed or otherwise expressly accepted by THBS and the client.
For a client engagement, the applicable MSA, SOW, NDA, order form, proposal expressly accepted by THBS, or other engagement document may supplement or supersede portions of these Terms as expressly stated in those documents.
